These Terms of Service govern the use of services provided by the company. By engaging with any offering—whether through a written agreement, order form, or the use of online tools—users acknowledge acceptance of these terms and any additional provisions specified in separate service agreements.
Acceptance of terms
Use of the company's services constitutes acceptance of these terms. If an engagement is governed by a separate written agreement, the terms of that agreement will control to the extent of any conflict. In all other cases, these standing terms apply. Clients represent and warrant that they have authority to enter into the applicable agreement on behalf of the organization they represent.
Use of services
Services are provided for legitimate business purposes and must not be used for unlawful activities. Users agree to provide accurate information, to maintain account security, and to comply with usage instructions and applicable laws. The company reserves the right to suspend or restrict access if there is a reasonable belief of misuse, a security incident, or a breach of these terms.
Intellectual property
Unless otherwise agreed in writing, the company retains ownership of pre-existing intellectual property, methodologies, and tools used in delivery. Deliverables created specifically for a client as part of a project will be governed by the applicable agreement: such agreements typically grant the client a license to use deliverables for specified business purposes, while the company retains rights to reuse general knowledge and non-confidential components. Clients warrant that they have the right to provide materials and information necessary for project execution and that such materials do not infringe third-party rights.
Limitation of liability
The company’s liability for direct damages arising from its performance is limited to fees paid for the specific service giving rise to liability during the prior twelve-month period, except where law requires otherwise. Under no circumstance will the company be liable for consequential, incidental, special, or punitive damages, loss of profits, or loss of data. This limitation applies regardless of the cause of action and even if the company has been advised of the possibility of such damages.
Termination
Either party may terminate an engagement in accordance with the termination provisions set forth in the applicable agreement. In the absence of a separate agreement, either party may terminate with reasonable notice if the other party materially breaches these terms and fails to cure within a specified period. Upon termination, outstanding fees for work performed and unreimbursed expenses become due. The company will return or securely dispose of client materials as agreed, subject to retention requirements and legal obligations.
Changes to terms
The company may revise these terms from time to time. Material changes will be communicated to clients through contractual channels or service interfaces. Continued use of services following notice of changes constitutes acceptance of the revised terms. Clients may negotiate alternative terms through their designated account representative prior to acceptance.
